1. Acceptance of Terms

By accessing or using ncountr - including browsing as a guest, entering anonymously, creating an account, or subscribing to premium features - you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines. If you do not agree, you may not use ncountr.

2. Eligibility

You must be at least 18 years old to use ncountr. By using the platform, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.

You agree to provide accurate information about yourself and not to misrepresent your age, identity, or affiliations. Accounts found to belong to minors or to involve impersonation may be terminated immediately.

3. Account Registration

ncountr supports both anonymous and registered accounts:

• Anonymous accounts: Allow you to explore the platform with limited profile information. Anonymous accounts are still subject to these Terms and our Community Guidelines.
• Registered accounts: Require an email address and allow full profile creation, messaging, forums, and premium features. You are responsible for maintaining the confidentiality of your login credentials.

You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access at safety@ncountr.app.

4. User Content

You retain ownership of content you submit to ncountr, including profile information, photos, messages, and forum posts ("User Content"). By submitting User Content, you grant ncountr a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, and distribute your content solely to operate, promote, and improve the platform.

You are solely responsible for your User Content. You represent that you have all rights necessary to post your content and that it does not violate any third-party rights or applicable laws.

We reserve the right to review, remove, or restrict User Content that violates these Terms or our Community Guidelines. We use automated tools, including OpenAI-powered moderation, and human review to enforce our policies. We are not obligated to monitor all User Content but may do so at our discretion.

5. Prohibited Conduct

You agree not to engage in any of the following:

• Harassment, bullying, threats, stalking, or intimidation of other users.
• Impersonation of any person or entity, or misrepresentation of your affiliation with a person or entity.
• Posting, sharing, or soliciting child sexual abuse material (CSAM) or any content sexualizing minors - zero tolerance; immediate permanent ban and reporting to authorities.
• Spam, unsolicited commercial messages, phishing, scams, or fraudulent activity.
• Discrimination, hate speech, or attacks based on race, ethnicity, gender identity, sexual orientation, religion, disability, or other protected characteristics.
• Sharing non-consensual intimate imagery or violating another person's privacy.
• Circumventing safety features, creating multiple accounts to evade bans, or using bots or automated tools without authorization.
• Any activity that violates applicable local, state, national, or international law.

6. Subscriptions & Payments

ncountr offers optional premium subscriptions processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current rate until you cancel.

• Billing: Subscription fees are billed in advance at the start of each billing period. Prices are displayed before purchase and may change with notice.
• Cancellation: You may cancel your subscription at any time through in-app settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds: Except where required by law, subscription fees are non-refundable. We do not provide prorated refunds for partial billing periods.

7. Intellectual Property

ncountr and its original content, features, design, logos, and trademarks are owned by ncountr and protected by intellectual property laws. Except for the limited license to use the platform as described in these Terms, no right, title, or interest in ncountr is transferred to you.

You may not copy, modify, distribute, sell, or lease any part of ncountr without our prior written consent.

8. Disclaimers & Limitation of Liability

NCOUNTR IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that ncountr will be uninterrupted, error-free, or secure. We are not responsible for the conduct of users on or off the platform. You use ncountr and interact with other users at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NCOUNTR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF NCOUNTR SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless ncountr and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of ncountr, your User Content, your violation of these Terms, or your violation of any rights of another person or entity.

10. Dispute Resolution & Arbitration

Before filing a claim, you agree to contact us at support@ncountr.app and attempt to resolve the dispute informally for at least 30 days.

Except where prohibited by law, any dispute arising from these Terms or your use of ncountr shall be resolved through binding individual arbitration rather than in court, and you waive the right to participate in class actions or class arbitrations. The arbitrator's decision shall be final and binding.

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or unauthorized access.

11. Termination

You may stop using ncountr and delete your account at any time through in-app settings. We may suspend or terminate your access immediately, without prior notice, if you violate these Terms, our Community Guidelines, or if we reasonably believe your conduct poses a risk to other users or the platform.

Upon termination, your right to use ncountr ceases immediately. Provisions that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution - will survive.

12. Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be communicated through in-app notice or email. Your continued use of ncountr after changes take effect constitutes acceptance of the revised Terms.
